Agreement to Terms

By accessing or using the Flow platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Service.

Description of Service

Flow is a web-based invoicing software platform designed for freelancers and small businesses. Our Service allows you to create, manage, and send invoices to your clients.

Account Registration and Eligibility

•You must provide accurate and complete information when creating an account
•You are responsible for maintaining the confidentiality of your account credentials
•You must notify us immediately of any unauthorised use of your account
•While we don't verify age, you must be legally capable of entering into binding contracts

Subscription Plans and Pricing

Available Plans

•Free Tier: Limited to 10 clients and 10 invoices per month
•Starter: $7/month (or $5/month billed annually) - unlimited clients and invoices per month
•Professional: $20/month (or $15/month billed annually) - unlimited clients, unlimited invoices per month, recurring invoices and more

Billing and Cancellation

•Subscriptions are billed monthly or annually in advance
•You may cancel your subscription at any time through your account settings
•Upon cancellation, you retain access to your paid plan until the end of your current billing period
•Refunds may be provided at our discretion and are subject to approval
•Free trial periods (when available) will be clearly communicated during signup

Acceptable Use Policy

You agree not to use the Service to:

•Upload, store, or transmit any content that is illegal, harmful, threatening, abusive, or violates any laws
•Upload inappropriate, offensive, or copyrighted images without proper authorisation
•Attempt to gain unauthorised access to our systems or other users' accounts
•Use the Service for any fraudulent or deceptive practises
•Interfere with or disrupt the Service or servers
•Create false or misleading invoices for illegal purposes
•Violate any applicable local, national, or international laws

Content and Data Ownership

Your Content

•You retain full ownership of all data, invoices, and content you create using our Service
•You grant us a limited licence to store, process, and display your content solely to provide the Service
•You have the right to download and use your invoices as you see fit
•You are responsible for the accuracy and legality of all content you upload

Our Content

•The Flow platform, including its design, features, and functionality, is owned by Acertine Ltd
•You may not copy, modify, or distribute our platform or its components

Data Storage and Backups

•We perform daily backups of all user data
•Data recovery is performed only when necessary and at our discretion
•Images are stored securely through our third-party provider, UploadThing
•We are not liable for any data loss, though we make reasonable efforts to prevent it

Service Availability

•We strive to maintain high service availability but do not guarantee 100% uptime
•Our hosting provider maintains a 99.9% Service Level Agreement
•We may perform scheduled maintenance that temporarily affects service availability
•We are not liable for any losses resulting from service interruptions

Account Termination

Termination by You

•You may request to delete your account at any time through our contact form
•Upon account deletion, all your data, including clients, invoices, and uploaded content, will be permanently deleted

Termination by Us

•Violate these Terms of Service
•Use the Service for illegal activities
•Upload inappropriate or harmful content
•Fail to pay subscription fees (for paid plans)
•Engage in activities that harm our Service or other users

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

•We provide the Service "as is" without warranties of any kind
•We are not liable for any indirect, incidental, or consequential damages
•Our total liability to you shall not exceed the amount you paid for the Service in the 12 months preceding the claim
•We are not responsible for any business losses, lost profits, or data loss

Indemnification

You agree to indemnify and hold harmless Acertine Ltd from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

Privacy

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your information.

Modifications to Service and Terms

•We may modify or discontinue the Service at any time with reasonable notice to users
•We may update these Terms from time to time, with material changes communicated via email or platform notification
•Continued use of the Service after changes constitutes acceptance of the new Terms

Dispute Resolution

•If we cannot resolve disputes directly, they will be governed by the laws of England and Wales
•Any legal proceedings must be brought in the courts of England and Wales

Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
